Terms of Service

1. Agreement to Terms

By accessing or using the RetailNorthstar website (retailnorthstar.ai) or the RetailNorthstar platform (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

RetailNorthstar is a cloud-based merchandising planning platform for apparel brands and retailers. The platform provides connected OTB planning, assortment planning, buy planning, allocation, and analytics capabilities delivered as a software-as-a-service (SaaS) subscription.

3. Account Registration

  • You must provide accurate and complete information when creating an account
  • You are responsible for maintaining the security of your account credentials
  • You must notify us immediately of any unauthorized access to your account
  • One person or entity may not maintain more than one account without prior written consent

4. Subscription and Payment

  • Access to the RetailNorthstar platform requires a paid subscription
  • Subscription terms, pricing, and billing frequency are as agreed in your service agreement
  • Fees are non-refundable except as expressly stated in your service agreement
  • We reserve the right to modify pricing with 30 days' written notice before your next renewal
  • Failure to pay may result in suspension or termination of access

5. Your Data

You retain all ownership rights to data you upload to the RetailNorthstar platform ("Your Data"), including OTB plans, assortment data, buy plans, sales history, and any other business data.

  • We will not access, use, or share Your Data except to provide the Service to you
  • We will not use Your Data to train models, benchmark against other customers, or for any purpose other than delivering the Service
  • Upon termination of your subscription, you may request an export of Your Data within 30 days
  • After the 30-day export period, we will delete Your Data from our systems

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Reverse engineer, decompile, or disassemble the Service
  • Attempt to gain unauthorized access to other accounts or systems
  • Resell, sublicense, or redistribute the Service without written consent
  • Upload malicious code, viruses, or any harmful content
  • Interfere with the performance or availability of the Service

7. Intellectual Property

The Service, including its design, code, features, documentation, and branding, is owned by RetailNorthstar and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during the subscription term.

8. Website Resources

Templates, guides, research reports, and other downloadable resources on our website are provided for informational and educational purposes. They may be used for your internal business purposes but may not be redistributed, resold, or published without written consent.

9. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice. We are not liable for service interruptions caused by factors beyond our reasonable control, including internet outages, third-party service failures, or force majeure events.

10. Limitation of Liability

To the maximum extent permitted by applicable law, RetailNorthstar shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service. Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Termination

  • Either party may terminate the subscription as specified in the service agreement
  • We may suspend or terminate access immediately for violation of these Terms
  • Upon termination, your right to use the Service ceases immediately
  • Sections relating to data ownership, limitation of liability, and governing law survive termination

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date. Continued use of the Service after changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which RetailNorthstar operates, without regard to conflict of law principles.
